PZ Cussons get shareholders’ nod on resolutions

Director, Dimitris Kostianis; Chief Executive Officer, Mrs Ifueko Okauru, Chair, Dr. Suleyman Ndanusa; Ballama Manu, Ebenezer Elusakin, in-coming Chief Financial Officer, Kareem Moustaf at the AGM.

At the 76th Annual General Meeting of PZ Cussons Nigeria Plc held at the Transcorp Hilton, Abuja, the Board of the Company laid the Audited Financial Statements for the year ended 31st May 2024, before the shareholders.

The shareholders subsequently considered and unanimously passed the following resolutions:

  • The Re-election of Mallam Ballama Manu and Mrs Oluwatoyin Odutayo as directors of the Company.
  • The election of Mr. Kareem Moustafa as a Non-Executive Director.
  • The authorisation of the Directors to fix the remuneration of the External Auditors.
  • The election of Bright Nwabughogu; Segun Owoeye; and Robert Ibekwe as shareholders’ representatives on the Statutory Audit Committee and the nomination of Ballama Manu and Dr. Suleyman Ndanusa, as Directors’ representatives on the Statutory Audit Committee.
  • The approval of the remuneration of the Directors for the 2024/2025 financial year.
  • The general mandate for related party transactions and ratification of related party transactions entered into before the Annual General Meeting.

The AGM therefore contradicts reports claiming the PZ Cussons had left Nigeria due to harsh economic environment.

The shareholders subsequently considered and unanimously passed the resolutions
